ĐIỀU KHOẢN SỬ DỤNG DỊCH VỤ SHOPFII
Chào mừng bạn đến với ShopFii – Phần mềm quản lý bán hàng, chốt đơn và bán hàng đa kênh kết nối qua Facebook, TikTok, Shopee và Lazada. Các Điều khoản sử dụng này ("Điều khoản") quy định mối quan hệ pháp lý giữa Công Ty Cổ Phần Công Nghệ DRUGY ("Chúng tôi", "Công ty") và các cá nhân, tổ chức sử dụng dịch vụ bao gồm Người bán ("Seller") và Người mua ("Buyer").
Khi truy cập, đăng ký hoặc sử dụng bất kỳ tính năng nào của phần mềm ShopFii, bạn xác nhận đã đọc, hiểu và đồng ý chịu sự ràng buộc bởi các Điều khoản này.

2. QUY ĐỊNH CHUNG & PHẠM VI DỊCH VỤ
- Phạm vi phần mềm: ShopFii cung cấp hạ tầng phần mềm công nghệ hỗ trợ quản lý bán hàng, tự động hóa chốt đơn, đồng bộ kho hàng và dữ liệu bán hàng đa kênh từ Facebook (Fanpage/Messenger), TikTok Shop, Shopee và Lazada.
- Bản chất trung gian công nghệ: ShopFii là công cụ quản lý kỹ thuật, không phải là sàn thương mại điện tử trực tiếp bán hàng và không tham gia vào giao dịch tài chính, thỏa thuận mua bán giữa Seller và Buyer.
- Sửa đổi Điều khoản: Chúng tôi có quyền cập nhật, chỉnh sửa Điều khoản này bất kỳ lúc nào để phù hợp với pháp luật hiện hành và hoạt động phát triển của ứng dụng. Thay đổi sẽ có hiệu lực ngay khi được công bố trên phần mềm.
3. ĐIỀU KHOẢN DÀNH CHO NGƯỜI BÁN (SELLER)
3.1. Tài khoản và Bảo mật
- Seller phải cung cấp thông tin chính xác, đầy đủ khi đăng ký tài khoản và chịu trách nhiệm bảo mật thông tin đăng nhập, API key, access token kết nối.
- Seller chịu toàn bộ trách nhiệm đối với mọi hoạt động, đơn hàng và tương tác phát sinh dưới tài khoản của mình.
3.2. Tích hợp Đa kênh (Facebook, TikTok, Shopee, Lazada)
- Khi kết nối các tài khoản bán hàng Facebook, TikTok, Shopee, Lazada vào ShopFii, Seller có trách nhiệm tuân thủ đầy đủ chính sách nền tảng của các bên thứ ba đó.
- Seller chịu trách nhiệm cấp đúng quyền truy cập API cần thiết để ShopFii thực hiện các tác vụ tự động (chốt đơn, đồng bộ tin nhắn, kho hàng, vận chuyển).
3.3. Hàng hóa & Tuân thủ Pháp luật
- Hàng hóa hợp pháp: Cam kết tất cả hàng hóa niêm yết và chốt đơn qua ShopFii có nguồn gốc rõ ràng, không kinh doanh hàng giả, hàng nhái, hàng cấm theo quy định của pháp luật Việt Nam.
- Nghĩa vụ Thuế: Seller tự chịu trách nhiệm kê khai và thực hiện nghĩa vụ thuế, tài chính phát sinh từ doanh thu bán hàng của mình.
- Dữ liệu khách hàng: Bảo vệ thông tin Buyer thu thập qua phần mềm, không kinh doanh hay chia sẻ trái phép dữ liệu Buyer.
3.4. Quyền của Công ty đối với Seller
- Tạm ngưng hoặc dứt quyền truy cập phần mềm nếu Seller vi phạm pháp luật, có hành vi gian lận hoặc vi phạm Điều khoản dịch vụ.
- Thu phí bản quyền/gói cước dịch vụ phần mềm theo bảng giá và thỏa thuận thương mại.
4. ĐIỀU KHOẢN DÀNH CHO NGƯỜI MUA (BUYER)
4.1. Quan hệ Mua bán & Chốt đơn
- Giao dịch mua bán hàng hóa, chất lượng sản phẩm, thanh toán và vận chuyển được thực hiện trực tiếp giữa **Buyer và Seller**. ShopFii hỗ trợ hiển thị/gửi thông tin xác nhận chốt đơn tự động theo thiết lập của Seller.
- Buyer có trách nhiệm kiểm tra chi tiết thông tin sản phẩm, giá tiền, phí vận chuyển và địa chỉ nhận hàng trước khi xác nhận đơn.
4.2. Xử lý Khiếu nại & Đổi trả
- Mọi vấn đề liên quan đến sản phẩm (hàng lỗi, thiếu hàng, giao sai) hoặc yêu cầu hoàn tiền/đổi trả sẽ do Seller tiếp nhận và giải quyết theo chính sách của Seller hoặc theo quy định của sàn TMĐT (TikTok, Shopee, Lazada) tương ứng.
- ShopFii không trực tiếp xử lý các khiếu nại đền bù tài chính giữa Buyer và Seller.
5. GIỚI HẠN TRÁCH NHIỆM CỦA CÔNG TY
- Sự cố Kỹ thuật & API bên thứ ba: Chúng tôi nỗ lực duy trì hệ thống ShopFii hoạt động ổn định. Tuy nhiên, Công ty không chịu trách nhiệm đối với việc gián đoạn dịch vụ gây ra bởi sự cố hạ tầng Internet, hoặc thay đổi chính sách/lỗi kỹ thuật đột xuất từ Facebook, TikTok, Shopee, Lazada.
- Tranh chấp Thương mại: Công ty không chịu trách nhiệm về bất kỳ thiệt hại, tổn thất tài chính hay tranh chấp thương mại nào phát sinh trực tiếp hoặc gián tiếp giữa Seller và Buyer.
6. QUYỀN SỞ HỮU TRÍ TUỆ
Toàn bộ quyền sở hữu trí tuệ liên quan đến phần mềm ShopFii, bao gồm mã nguồn, giao diện, thương hiệu, logo và tài liệu hướng dẫn đều thuộc sở hữu hợp pháp của CÔNG TY CỔ PHẦN CÔNG NGHỆ DRUGY. Nghiêm cấm mọi hành vi sao chép, đảo ngược mã nguồn hoặc phân phối lại dịch vụ khi chưa có sự đồng ý bằng văn bản của Chúng tôi.
7. LUẬT ÁP DỤNG VÀ GIẢI QUYẾT TRANH CHẤP
- Điều khoản này được điều chỉnh và giải thích theo pháp luật nước Cộng hòa Xã hội Chủ nghĩa Việt Nam.
- Tranh chấp phát sinh liên quan đến việc sử dụng phần mềm ShopFii trước hết sẽ được giải quyết thông qua thương lượng. Nếu không đạt được thỏa thuận, tranh chấp sẽ được đưa ra Tòa án có thẩm quyền tại Thành phố Hồ Chí Minh để giải quyết.

SHOPFII TERMS OF SERVICE
Welcome to ShopFii – Multi-channel sales management and order automation software supporting integrations with Facebook, TikTok, Shopee, and Lazada. These Terms of Service ("Terms") govern the legal relationship between DRUGY TECHNOLOGY JOINT STOCK COMPANY ("We", "Company") and users of our service, including Sellers and Buyers.
By accessing, registering, or using any feature of the ShopFii software, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. GENERAL PROVISIONS & SCOPE OF SERVICE
- Software Scope: ShopFii provides technology infrastructure supporting sales management, order closing automation, inventory synchronization, and multi-channel data integration from Facebook (Fanpage/Messenger), TikTok Shop, Shopee, and Lazada.
- Technology Intermediary Nature: ShopFii is a technical management tool, not an e-commerce marketplace directly selling goods, and is not a party to financial transactions or purchase agreements between Sellers and Buyers.
- Amendments to Terms: We reserve the right to update or modify these Terms at any time to align with applicable laws and software developments. Changes take effect immediately upon publication within the application.
3. TERMS FOR SELLERS
3.1. Account & Security
- Sellers must provide accurate and complete information during registration and remain responsible for securing login credentials, API keys, and connection access tokens.
- Sellers are fully responsible for all activities, order processing, and interactions occurring under their accounts.
3.2. Multi-Channel Integration (Facebook, TikTok, Shopee, Lazada)
- When connecting Facebook, TikTok, Shopee, or Lazada store accounts to ShopFii, Sellers are responsible for fully complying with the respective third-party platform policies.
- Sellers are responsible for granting necessary API permissions for ShopFii to perform automated tasks (order closing, message/inventory syncing, shipping dispatch).
3.3. Product Legality & Legal Compliance
- Lawful Goods: Sellers guarantee that all products listed and processed through ShopFii have legitimate origins and do not violate Vietnamese laws regarding counterfeit, fake, or prohibited goods.
- Tax Obligations: Sellers are solely responsible for declaring and fulfilling all tax and financial obligations arising from their sales revenues.
- Customer Data Protection: Sellers must protect Buyer information collected through the software and are prohibited from illegally trading or misusing Buyer data.
3.4. Company Rights Regarding Sellers
- We reserve the right to suspend or terminate software access if a Seller violates laws, engages in fraudulent behavior, or breaches these Terms.
- We reserve the right to collect software subscription/license fees according to agreed pricing tiers.
4. TERMS FOR BUYERS
4.1. Purchase Relationship & Order Closing
- Product transactions, product quality, payment, and delivery are agreed upon directly between Buyers and Sellers. ShopFii provides automated order confirmation notifications based on Seller configurations.
- Buyers are responsible for verifying product details, prices, shipping fees, and delivery addresses prior to confirming orders.
4.2. Complaints & Returns Handling
- All product issues (defects, missing items, incorrect items) or refund/return requests shall be handled directly by the Seller according to their store policy or the policies of the relevant e-commerce platform (TikTok, Shopee, Lazada).
- ShopFii does not directly handle financial dispute resolution or compensation claims between Buyers and Sellers.
5. LIMITATION OF LIABILITY
- Technical Interruptions & Third-Party APIs: We strive to maintain stable operation of ShopFii. However, the Company is not liable for service disruptions caused by internet infrastructure outages or unexpected policy changes/technical bugs from Facebook, TikTok, Shopee, or Lazada.
- Commercial Disputes: The Company is not liable for any financial losses, damages, or commercial disputes arising directly or indirectly between Sellers and Buyers.
6. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights associated with the ShopFii software—including source code, UI/UX designs, trademarks, logos, and documentation—are the sole property of DRUGY TECHNOLOGY JOINT STOCK COMPANY. Unauthorized copying, reverse engineering, or redistribution of the software is strictly prohibited.
7. GOVERNING LAW & DISPUTE RESOLUTION
- These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.
- Any disputes arising from or related to the use of ShopFii software shall first be settled through good-faith negotiation. If unresolved, the dispute shall be submitted to the competent Court in Ho Chi Minh City, Vietnam.
